Nocturify Terms of Service

These Terms of Service (“Terms”) govern Your access to and use of the Nocturify mobile application, website and related services.

By creating an account or otherwise using services that require acceptance of these Terms, You agree to be bound by them.

Please read these Terms before using Nocturify.

1. About Nocturify

Nocturify is a nightlife discovery and information platform designed to help users discover venues, events and current nightlife conditions.

Nocturify may provide features including:

• venue discovery;
• maps and location-based discovery;
• venue information;
• events;
• community reports;
• live venue signals;
• personalized recommendations;
• favorites;
• NightMiles;
• AI-assisted explanations and recommendations;
• venue-management and partner features;
• other nightlife-related functionality.

2. Eligibility

You must be at least 18 years old to create an account or use Nocturify.

By creating an account, You confirm that You are at least 18 years old and have the legal capacity to enter into these Terms.

Nocturify may restrict or terminate access if we reasonably determine that an account is being used by a person who does not meet the eligibility requirements.

Nocturify does not guarantee that entry to any particular venue, event or nightlife activity is permitted merely because You are eligible to use Nocturify.

Venues and event organizers may impose their own age restrictions, identification requirements, dress codes, admission policies or other conditions.

3. Your account

Some Nocturify features require an account.

When creating and using an account, You agree to:

• provide information that is reasonably accurate;
• keep Your authentication credentials secure;
• use only an account You are authorized to use;
• not impersonate another person;
• not create accounts for abusive, fraudulent or deceptive purposes;
• notify us if You reasonably suspect unauthorized access to Your account.

You are responsible for activity carried out through Your account to the extent permitted by applicable law.

You may be able to authenticate using email and password, Google, Apple or other supported authentication methods.

You must not sell, transfer or commercially trade Your consumer account without our permission.

4. Nocturify is an information and discovery service

Unless expressly stated otherwise, Nocturify:

• does not own or operate the venues displayed on the platform;
• does not organize third-party events merely because they are listed;
• does not control venue admission;
• does not guarantee reservations, entry, service or availability;
• is not responsible for venue staff, security, guests or third-party organizers.

A venue being listed on Nocturify does not necessarily mean that the venue has a commercial relationship with Nocturify.

Legitimate venues may be listed regardless of whether they are Nocturify partners.

5. Venue information

We aim to provide useful and accurate venue information.

Venue information may originate from:

• venue operators;
• publicly available sources;
• approved external sources;
• Nocturify’s own records;
• community activity;
• other sources reasonably used to operate the platform.

Certain authorized venues may manage specified information about their own venue through Nocturify’s venue-management tools.

Information such as opening hours, events, admission conditions, prices or venue details can change.

Where information has been submitted or managed by a venue or its authorized representative, that venue is responsible for ensuring that the information it provides is accurate, lawful, current and not misleading.

Nocturify may review, correct, restrict, reject or remove venue-provided information where reasonably necessary to protect users, comply with applicable law or maintain platform integrity.

Where information is important to Your plans, safety or expenditure, You should verify it directly with the venue or relevant organizer.

6. Live venue information

Nocturify may display information about current venue conditions, including states such as:

• Closed;
• LIVE;
• Verified Activity;
• crowd conditions;
• queue conditions;
• atmosphere;
• other current venue signals.

Live information may be based on recent verified community activity and other trusted Nocturify data.

Nightlife conditions can change rapidly. A live signal represents the information available to Nocturify at a particular time and is not a guarantee that conditions will remain the same when You arrive.

Where reliable information is unavailable, Nocturify may display that the condition is unknown or that insufficient information is available.

We prefer showing uncertainty to presenting unsupported information as fact.

7. Community reports

Eligible users may be able to submit structured reports about venue conditions.

When submitting a report, You agree that:

• You will provide information honestly and in good faith;
• the report will relate to the venue selected;
• You will not intentionally submit false or misleading information;
• You will not manipulate reports to benefit or harm a venue;
• You will not coordinate fraudulent reporting;
• You will not use automated systems, scripts or multiple accounts to manipulate community information;
• You will comply with applicable reporting limits and verification requirements.

Nocturify may use location verification, time limits, account controls and other safeguards to assess whether a report qualifies for use.

Submitting a report does not guarantee that it will be publicly displayed or included in an aggregated signal.

We may reject, exclude, reduce the influence of or remove reports where reasonably necessary to protect the integrity of the platform.

8. Location and GPS verification

Some Nocturify features use device location.

Location may be used to:

• identify nearby venues;
• determine a supported city;
• calculate venue distance;
• verify that a report is being submitted near the relevant venue.

You are responsible for granting or refusing device permissions.

Some functionality may not work or may be less accurate if location permission is unavailable.

GPS verification is a technical integrity measure. It does not guarantee that every report is correct, nor does it mean Nocturify continuously tracks Your location.

9. NightMiles

Nocturify may provide a participation and rewards system known as NightMiles.

NightMiles may be awarded for qualifying actions such as eligible community participation.

Unless Nocturify expressly states otherwise:

• NightMiles are not money;
• NightMiles are not cryptocurrency;
• NightMiles are not a bank deposit or financial account;
• NightMiles have no guaranteed cash value;
• NightMiles cannot be sold or transferred between users;
• NightMiles may only be used for rewards or benefits made available through Nocturify.

NightMiles do not expire under the current NightMiles program.

Nocturify may introduce or change rewards, redemption options and program rules as the NightMiles system develops. Any material change affecting existing NightMiles will be communicated as required before it takes effect.

Nocturify may refuse, reverse, adjust or remove NightMiles obtained through:

• fraud;
• duplicate activity;
• manipulated reports;
• technical exploitation;
• automated activity;
• abuse of reward rules;
• account misuse.

Additional NightMiles rules may apply to particular rewards, offers or redemption features when those features become available.

10. Recommendations and personalization

Nocturify may personalize venue, event or nightlife recommendations using information such as:

• Your preferences;
• selected city;
• location where permitted;
• venue availability;
• events;
• verified activity;
• other relevant product signals.

Recommendations are intended to help You discover nightlife options.

A recommendation does not guarantee that You will enjoy a venue or event, gain admission, avoid queues, receive a particular level of service or experience the conditions described.

Your preferences and circumstances remain Your responsibility when deciding where to go.

11. AI-assisted features

Nocturify may provide AI-assisted functionality, including features such as:

• Home AI;
• Venue AI summaries;
• Ask Nocturify.

Our guiding principle is:

Nocturify determines the facts. AI explains the facts.

AI-assisted wording is intended to explain or present information derived from Nocturify’s authorized data and product logic.

AI-generated or AI-assisted text should not be treated as a guarantee.

Nocturify aims to prevent AI systems from inventing unsupported venue information, events, opening status, live conditions or other nightlife facts. However, automated systems can occasionally produce incomplete, inaccurate or unexpected output.

Where an AI response conflicts with authoritative structured information displayed by Nocturify, the authoritative structured information should be treated as controlling.

Nocturify may disable, limit or replace AI functionality at any time, including when a provider is unavailable or when reliable grounded output cannot be produced.

12. Events

Nocturify may display events provided by venues, organizers, approved sources or other information sources.

Event information may change without notice.

Unless Nocturify expressly states that it is the event organizer, Nocturify is not responsible for:

• cancellation;
• postponement;
• ticket availability;
• ticket pricing;
• admission;
• performer changes;
• venue changes;
• organizer conduct;
• refunds issued by third parties.

Where an event is important to Your plans or expenditure, You should verify the information with the venue, organizer or ticket provider.

13. Venue partners and venue-managed information

Nocturify may allow an authorized venue representative to claim a venue and become a verified venue partner.

Legitimate venues may be listed on Nocturify regardless of whether they have a commercial relationship with Nocturify. Becoming a venue partner does not determine whether a venue is listed.

A verified partner may receive a Verified Partner badge and access to venue-management tools and other partner functionality made available by Nocturify.

Through authorized venue-management tools, a venue may be able to submit, update or manage certain information relating to its own venue, such as:

• venue details;
• opening hours;
• events;
• photographs;
• other supported venue information.

The venue or its authorized representative is responsible for ensuring that information it submits or manages is accurate, lawful, current and not misleading.

Nocturify may identify information as venue-provided where appropriate and may review, reject, correct, restrict or remove venue-provided information where reasonably necessary to protect users, comply with law or maintain the integrity of the platform.

Venue-managed information is separate from community-derived or independently determined Nocturify information.

A venue partnership does not entitle a venue to alter, suppress or purchase changes to:

• legitimate community reports;
• verified community activity;
• LIVE or Verified Activity states;
• community-derived crowd, queue or atmosphere information;
• deterministic factual signals;
• other independent Nocturify information that is not controlled by the venue.

At this stage, the Verified Partner badge identifies an authorized commercial or management relationship with Nocturify.

The badge is not a paid endorsement, quality rating or guarantee that the venue is better, safer or otherwise superior to a non-partner venue.

Nocturify may introduce additional commercial products in the future. If sponsored or promotional placements are introduced, they will be clearly distinguished where appropriate and will not alter the underlying factual nightlife information or community-derived truth presented by Nocturify.

14. Aggregated venue insights

Nocturify may provide venues with aggregated statistics and insights derived from qualifying platform activity.

These may include aggregated:

• audience preferences;
• demographic distributions;
• reporting activity;
• crowd, queue or atmosphere trends;
• engagement patterns;
• other venue-level insights.

Such analytics are intended to describe groups and trends rather than expose individual private consumer profiles.

Nocturify may apply minimum audience thresholds, aggregation, de-identification or other privacy safeguards before making particular statistics available.

Commercial relationships do not provide venues with unrestricted access to individual users’ private account information.

15. Favorites and other personal features

Nocturify may allow You to save venues, configure preferences and use other account-specific features.

Availability of these features may change as the service develops.

Unless expressly stated otherwise, saving a venue does not create a reservation, booking or contractual relationship between You and the venue.

16. Acceptable use

You must not use Nocturify to:

• violate applicable law;
• commit or facilitate fraud;
• impersonate another person or organization;
• manipulate community reports or live signals;
• create fraudulent accounts;
• bypass account, location, reporting or reward restrictions;
• interfere with the operation or security of Nocturify;
• access another user’s private information without authorization;
• scrape, harvest or systematically extract data without authorization;
• reverse engineer or exploit the service except where applicable law expressly permits it;
• distribute malware or malicious code;
• attempt unauthorized access to systems or accounts;
• harass, threaten or abuse other persons;
• submit unlawful information or content;
• infringe intellectual property or other rights;
• misuse venue or partner functionality.

17. Enforcement and moderation

We may investigate suspected violations of these Terms, the Community Guidelines or platform-integrity rules.

Where reasonably necessary and proportionate, we may:

• reject or remove contributed information;
• disregard reports;
• reverse NightMiles;
• restrict features;
• temporarily suspend an account;
• permanently terminate an account;
• restrict venue or partner functionality;
• preserve information necessary to investigate abuse or comply with law.

We may act immediately where reasonably necessary to protect users, venues, Nocturify or third parties.

Where appropriate and legally required, users may have access to applicable complaint or appeal mechanisms.

18. Information You contribute

Nocturify is not a social-media platform and does not currently provide a general-purpose public posting or social-feed service.

Certain features allow You to contribute information necessary for Nocturify’s community functionality, including structured venue reports and other supported contributions.

Where You submit information or content, You confirm that You have the right to provide it and that it does not violate applicable law or the rights of another person.

You retain any rights You hold in content You provide.

To the extent necessary to operate Nocturify, You grant Nocturify a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce and use submitted information or content for purposes including:

• operating the feature through which it was submitted;
• validating and moderating community information;
• producing community-derived venue signals;
• producing permitted aggregated statistics and insights;
• preventing abuse;
• maintaining and improving Nocturify;
• complying with applicable legal obligations.

This licence does not transfer ownership of Your content to Nocturify.

19. Intellectual property

Nocturify and its associated software, design, branding, interfaces, databases, original content and other materials may be protected by intellectual property rights.

Except as permitted by these Terms or applicable law, You may not copy, distribute, sell, license or commercially exploit protected Nocturify materials without authorization.

Third-party names, trademarks, venue names, event names and other third-party materials remain the property of their respective owners.

20. Third-party services and links

Nocturify may link to or interact with third-party services such as:

• venue websites;
• maps;
• ticket providers;
• authentication providers;
• social media;
• external booking services;
• other nightlife-related services.

Third-party services are governed by their own terms and privacy practices.

Nocturify is not responsible for third-party services merely because a link or integration is available through Nocturify.

21. Availability and changes to Nocturify

Nocturify is an evolving service.

We may:

• add or remove features;
• change how features operate;
• modify supported cities;
• change data sources;
• introduce or remove AI functionality;
• change NightMiles rewards or redemption functionality;
• introduce venue services;
• perform maintenance;
• temporarily suspend parts of the service.

We do not guarantee uninterrupted or error-free availability.

Where changes materially affect Your contractual rights, we will provide information or obtain renewed acceptance where required by applicable law.

22. Account suspension and termination

You may stop using Nocturify at any time.

Eligible consumer accounts may be deleted using the account-deletion functionality provided in the application.

We may restrict, suspend or terminate access where reasonably necessary because of:

• material or repeated violation of these Terms;
• fraud or abuse;
• manipulation of reports or NightMiles;
• security threats;
• unlawful activity;
• risk to users, venues or the platform;
• legal requirements.

Certain operational accounts connected to venue ownership, moderation, administration or retained operational records may require an assisted offboarding or de-identification process rather than immediate self-service deletion.

23. No guarantee of nightlife conditions or personal safety

Nightlife involves circumstances outside Nocturify’s control.

Nocturify does not guarantee:

• personal safety at a venue or event;
• conduct of other guests;
• venue security;
• admission;
• queue duration;
• crowd size;
• atmosphere;
• transport availability;
• availability of products or services;
• compliance of third parties with applicable law.

You remain responsible for Your personal decisions and safety.

Nothing in Nocturify should be interpreted as emergency, medical, legal, security or transportation advice.

In an emergency, contact the appropriate emergency services.

24. Disclaimer of warranties

To the extent permitted by applicable law, Nocturify is provided on an “as available” basis.

We aim to provide accurate and reliable information but cannot guarantee that all information will always be complete, current or error-free.

Nothing in these Terms excludes statutory guarantees, rights or remedies that cannot legally be excluded.

25. Limitation of liability

Nothing in these Terms limits or excludes liability where doing so would be prohibited by applicable law.

To the extent permitted by applicable law, MB Bereisa Solutions is not responsible for losses caused solely by:

• inaccurate or outdated third-party or venue-provided information that we could not reasonably control;
• changes in venue conditions after information was recorded;
• third-party services;
• a user’s failure to protect account credentials;
• unauthorized or prohibited use of Nocturify;
• circumstances outside our reasonable control.

These Terms do not limit any mandatory rights You have as a consumer under Lithuanian or European Union law.

26. Consumer rights

If You use Nocturify as a consumer in the European Union, You retain the mandatory consumer rights provided by applicable law.

Nothing in these Terms is intended to waive or restrict rights that cannot legally be waived or restricted by contract.

If paid consumer services are introduced in the future, additional terms concerning price, payment, cancellation and applicable withdrawal rights may apply before You purchase them.

27. Privacy

Our processing of personal data is described in the Nocturify Privacy Policy.

The Privacy Policy forms an important part of understanding how Nocturify operates but does not make consent the legal basis for every processing activity.

Additional information may also be provided through the Nocturify AI Transparency and Location & GPS disclosures.

28. Changes to these Terms

We may update these Terms when:

• Nocturify changes;
• new functionality is introduced;
• legal or regulatory requirements change;
• security or platform-integrity requirements change.

The current version and effective date will be displayed with the Terms.

Where a material change requires renewed acceptance, we may require You to review and accept the updated Terms before continuing to use relevant Nocturify services.

Where appropriate, previous acceptance records may be retained to establish which version of the Terms applied at a particular time.

29. Governing law and disputes

These Terms are governed by the laws of the Republic of Lithuania, subject to any mandatory consumer-protection rights that apply to You under the law of Your country of residence.

We encourage You to contact us first so that we can attempt to resolve a complaint directly.

Nothing in these Terms prevents You from exercising any right to contact a competent consumer-protection authority, supervisory authority or court available under applicable law.
